Role & Responsibilities


1) Contract Management:

  • Manage contract processing (including reviewing intake forms and contract requests, drafting SOWs, coordinating and tracking legal, finance, and leadership review, correspondence with internal/external stakeholders re contract status & requirements, finalizing contracts, compiling exhibits or attachments, and coordinating signatures via DocuSign, monitoring expiring contracts and sending monthly reminders for same).
  • Review grants and contracts and prepare polished summaries for senior leadership reviews
  • Support the intake, analysis, and preparation of contracts, amendments, NDAs, and other legal documents/ projects
  • Document review and proofing (section reference checks, definition checks, grammar and formatting checks)
  • Knowledge management (FAQs, commercial legal hub, internal/external documents, legal process documents)
  • Lead cross functional initiatives related to contracts (locate agreements, check for data points & specific contract clauses, run reports from CMS)
  • Review agreements and pulling data points; creating summaries and visualizations
  • POC for queries related to data that lives in Ironclad
  • POC for queries related to contract workflow questions, glitches, updates
  • Handle updates to all contract process templates and playbooks
  • Optimize contract and grant coordination processes and legal knowledge systems (e.g., contract terms database)
  • Manage and optimize legal records and archives, including organization of legal, financial, and programmatic documents related to contracts and grants agreements


2) Legal Operations / Legal Admin:

  • Collaborate with Ops/IT as the legal team representative for Salesforce, Airtable, Ironclad, and other technology tools and systems
  • Assess, implement, and maintain customized technologies and processes to drive efficiencies in the department's delivery of legal services
  • Lead progress of grant agreements through Legal, including coordinating the preparation and execution of agreements, amendments, and exhibits both digitally and in hard copy
  • Drive legal training for the organization, including developing materials w/ the CLO, leading sessions, and managing calendar + library for same
  • Manage Legal/CLO meetings, agendas, day-to-day tasks, and monitor Legal email inbox
  • Partner with CLO and programmatic stakeholders to understand their needs and develop processes and solutions


Qualifications/Skills

  • Agile, accurate, resourceful, responsive
  • Deep project management skills
  • Detail oriented; curious and analytical thinker
  • Strong administrative organization skills
  • Familiarity with legal agreements, commercial vendor contracts and grant agreements a plus
  • Clear concise communication, presentation and collaboration skills
  • Self-motivated with the ability to set long term and day-to-day priorities and manage multiple competing tasks in an effective and efficient manner
  • Comfortable working with flexibility in an agile customer-service oriented environment
  • Discreet and familiar with navigating legally sensitive or confidential matters
  • 4+ years of experience with legal contracts management, legal operations, or legal project/case management
  • Nonprofit administration and/or grants management experience a plus
  • Paralegal experience a plus


Position Details

  • Role: Contracts Manager
  • Location: On-site four days a week in Oakland, CA
  • Technology: Ironclad, Salesforce, Airtable
  • Salary: $120,000 - $160,000 based on experience and subject-matter expertise
